This page brings together our general terms and each of our supporting policies: trade accounts and orders, services, payment, delivery, returns, product liability, website use and privacy. Use the tiles below to jump to the part you need.

1

Overview and General Terms

The basics: who we are, what you agree to when you trade with us, and how these terms fit together.

1.1Agreement

By using our website, opening a trade account, asking for a quotation, placing an order or buying from Bright New Wholesale Ltd you confirm that you have read, understood and agreed to these Terms and Conditions. They apply to every customer unless we agree otherwise in writing.

1.2Who we are

Bright New Wholesale Ltd is a business-to-business wholesaler registered in England and Wales, company number 12892517. Our address is Unit 5A, Nobel Road, London N18 3BH. You can reach us on 0208 803 0199 or at info@brightnewwholesale.co.uk. We are open Monday to Friday 9:00am - 6:00pm and Sunday 9:00am - 1:00pm, and closed on Saturdays.

We supply household goods, kitchenware, cleaning products, catering disposables, stationery, hardware and seasonal lines to retailers, caterers, takeaways, market traders, schools, offices and other trade customers across the UK.

1.3Our commitment to you

We aim to offer:

  • quality products from suppliers we trust
  • competitive wholesale pricing
  • reliable stock and dependable delivery
  • helpful customer service
  • fair and transparent trading

1.4Your responsibilities

Please make sure that:

  • the information you give us is accurate and kept up to date
  • delivery addresses are correct and orders are checked before you submit them
  • the products you order suit your intended commercial use
  • goods are inspected on delivery and any problem is reported promptly

1.5How these terms fit together

These Terms are made up of nine parts. Each part covers its own subject, and together they form one agreement. If two parts appear to conflict, the part dealing specifically with the subject applies, and where that is not clear, the most recently updated wording applies.

1.6Changes and governing law

We may update these Terms at any time to reflect changes in law, our services or our business. The version on this page when you place an order is the one that applies to it.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

2

Trade Accounts and Orders

How accounts are approved, how orders are accepted and how pricing works.

2.1Trade accounts

We supply mainly to businesses. You may order on a pro-forma basis or apply for a trade account, which we approve at our discretion. To approve an account we may ask for business details, verify your identity and, where credit is requested, carry out checks through recognised credit reference agencies. Information you provide is used only for legitimate business purposes in line with our Privacy Policy.

2.2Placing an order

You can order through our website, by telephone, by email or in person at our warehouse. Submitting an order is an offer to buy. We accept it only when we confirm it and begin processing.

2.3When we may decline or cancel an order

We may refuse or cancel an order where:

  • products are unavailable
  • a pricing error has occurred
  • payment authorisation fails
  • we suspect fraud or misuse
  • the order cannot reasonably be fulfilled or events outside our control arise

If an item becomes unavailable after you order, we will contact you to agree alternatives, a partial shipment, a revised delivery time or a refund.

2.4Prices and VAT

Prices are for trade customers and are shown exclusive of VAT unless stated. Prices may change because of supplier increases, freight, import costs, taxes or market conditions, but this will not affect orders we have already confirmed. If we spot a pricing error before dispatch, we will contact you before the order goes ahead.

2.5Product information

We work hard to keep descriptions, images, specifications and prices accurate. Images are for illustration. Manufacturers sometimes change packaging, design or specifications without notice, so please contact us before purchase if you need exact technical details.

2.6Cancelling an order

Contact us as soon as possible if you want to cancel. If the order has not yet entered processing or dispatch, we can usually cancel it free of charge. Once goods have been dispatched, cancellation may not be possible and Part 6 (Returns and Refunds) applies.

2.7Events beyond our control

We are not responsible for delay or failure caused by events outside our reasonable control, including severe weather, industrial action, transport disruption, supplier shortages, government restrictions, pandemic events or utility failures. We will take reasonable steps to limit disruption and keep you informed.

3

Trade Services

What our wholesale services include and who can use them.

3.1Who can use our services

Our services are for business and trade customers only, including registered businesses, approved trade account holders and verified wholesale buyers. We may refuse service where business details cannot be verified, trade requirements are not met, misuse is suspected, or legal restrictions apply.

3.2What we provide

  • wholesale supply of household, kitchen, cleaning, catering and general merchandise lines
  • bulk order fulfilment and delivery across the UK
  • trade account management, including trade pricing and order history
  • warehouse collection (Click and Collect)
  • help sourcing particular products from approved suppliers, subject to availability, lead times and minimum quantities
  • customer support and stock availability information

3.3Trade account services

Approved customers may receive trade pricing, faster ordering, account-based purchasing and, where approved, credit facilities. We may adjust credit limits, suspend an account for late payment or misuse, or close an account where necessary.

3.4Click and Collect

You can order in advance and collect from our warehouse at Unit 5A, Nobel Road, London N18 3BH. Please wait for confirmation that your order is ready, bring proof of purchase if asked, and make sure authorised staff collect on behalf of your business. Orders not collected within a reasonable time may be cancelled or returned to stock.

3.5Availability of services

All services depend on stock, warehouse capacity, supplier performance, courier availability and seasonal demand. We may modify, pause or withdraw a service where needed for operational or legal reasons, for example during maintenance, system upgrades or supplier shortages. We will keep disruption to a minimum and are not liable for short interruptions.

3.6Service charges

Charges may apply depending on order size, delivery location, product type, pallet requirements, special handling or express delivery. We will tell you about applicable charges before you confirm an order wherever possible.

4

Payment Terms

How you pay, when payment is taken and how we keep it secure.

4.1Accepted payment methods

We accept major debit and credit cards, secure online payment providers, bank transfer for approved trade accounts, and other methods shown at checkout from time to time. All payments are in pounds sterling. We may change available methods without notice.

4.2When payment is taken

  • Card payments are normally charged when the order is placed.
  • Bank transfers must clear before dispatch unless we have agreed otherwise.
  • Approved trade accounts follow the credit terms agreed with us.

Unless agreed in writing, orders are supplied pro-forma, and we dispatch once payment has been received and verified.

4.3Order confirmation and verification

Our confirmation email does not guarantee acceptance. Every order is subject to payment verification, stock availability, fraud screening and our acceptance. We may refuse or cancel an order if payment cannot be verified or suspicious activity is detected.

4.4Secure payments

Payments are handled by third-party providers that follow recognised card industry security standards. We do not store full card numbers on our own systems. We take all reasonable precautions but cannot guarantee the absolute security of data sent over the internet.

4.5Failed or declined payments

If a payment is declined the order will not be completed. Common causes are insufficient funds, incorrect billing details, bank restrictions or fraud-prevention blocks. You may try another method, contact your bank or ask our team for help. We are not responsible for delays caused by failed payments.

4.6Fraud prevention

We may check billing and delivery details, authenticate payments, verify identity on high-value orders and review unusual transactions. We may hold or cancel any order we suspect to be fraudulent and report it to the authorities where required.

4.7Promotions and discounts

Offers are subject to availability, run for a limited time and may carry their own conditions. We may withdraw or change them at any time. Discount codes must be applied at checkout and cannot normally be added after an order is placed.

4.8Invoices and late payment

Invoices may be issued electronically and payment terms may be agreed case by case. Late payment may lead to suspension of account privileges or future orders, and we may charge interest on overdue balances as permitted by UK law.

4.9Refunds, currency and chargebacks

Approved refunds go back to the original payment method. The time it takes to reach you depends on your bank or provider. If you pay from outside the UK, your bank may apply conversion fees that we do not control. Please contact us before raising a chargeback so we can resolve the matter fairly. Unjustified chargebacks may restrict future orders and fraudulent ones may be investigated.

4.10Payment liability

We are not responsible for errors you make when submitting payment, charges applied by your bank or card provider, delays by third-party processors, or losses caused by unauthorised access resulting from customer negligence.

5

Delivery Terms

How orders are processed, delivered or collected.

5.1Delivery options

We deliver throughout the UK and can arrange delivery elsewhere on request. Options include:

  • nationwide courier delivery
  • pallet delivery for larger orders
  • local delivery where we operate routes
  • Click and Collect from our London warehouse

5.2Processing orders

Our warehouse team checks every order for accuracy and packs it securely before dispatch. Processing time depends on stock, order size, seasonal demand and destination. If there is a delay, we will keep you informed.

5.3Delivery charges and free delivery

Charges are based on order value, postcode, weight and size, product type and pallet requirements. We may offer free delivery on qualifying orders in selected areas. Eligibility can depend on minimum order value, postcode, product type and order size. Extra charges may apply to remote areas, islands, Northern Ireland, the Republic of Ireland, large pallet consignments or special requirements. We will always tell you the delivery cost before you confirm an order. For deliveries outside the UK, ask our sales team for a quotation.

5.4Delivery times

Delivery times are estimates and are not guaranteed. They can be affected by stock, courier capacity, weather, traffic, industrial action, customs clearance and other external factors. We are not liable for delays outside our reasonable control.

5.5Split deliveries

Where an order has several products, we may send them in separate consignments if this gets them to you faster. You will not pay extra delivery for split shipments unless we agreed so in advance.

5.6Your delivery responsibilities

  • Give a complete and accurate delivery address.
  • Make sure someone is available to receive the goods where required.
  • Tell us about access restrictions when you order.
  • Keep your contact details up to date.

5.7Damaged or missing deliveries

Please inspect goods on delivery. If anything is damaged, missing, incorrect or short, tell us as soon as you can and within the period set out in Part 6 so we can investigate and put it right.

5.8Delivery restrictions

Some products or destinations may be restricted by courier limits, transport regulations or location.

6

Returns and Refunds

What to do if something is wrong with your order, and how returns work.

6.1Reporting a problem

Check goods as soon as they arrive. If products are damaged, faulty, incorrectly supplied or missing, contact us within 14 days of delivery. We may ask for your order number, photographs, product details and a description of the problem.

6.2What we will do

Where we confirm that goods were damaged or incorrectly supplied, we will normally replace them, give you a credit or refund you, whichever is most appropriate.

6.3Returning goods you no longer need

Accepting the return of correctly supplied goods is at our discretion. If we agree, the return may be subject to:

  • return carriage costs
  • inspection when the goods arrive
  • a restocking charge
  • the goods being unused, in original packaging and suitable for resale

Some products cannot be returned for hygiene, safety or manufacturer reasons.

6.4Product warranty

We aim to supply products of appropriate quality that suit their intended commercial purpose, and they are covered against manufacturing defects as the law requires. Warranty does not cover damage from incorrect installation, poor storage, misuse, negligence, accidental damage, normal wear and tear, or use outside intended commercial applications. Where a manufacturing fault is confirmed, we will decide on the appropriate remedy, which may be replacement, repair, credit or refund.

6.5How refunds are paid

Refunds are made to the original payment method. See Part 4 for more about timing.

7

Product Liability

How we approach product safety, correct use and responsibility.

7.1Scope

This part applies to all products we supply, including household goods, kitchenware, catering and cleaning products, stationery, hardware, seasonal items and third-party or branded products we distribute, whether bought online, by trade order or through any approved route.

7.2Our commitment to safety

We source from reputable manufacturers and suppliers, carry out reasonable checks, pass on manufacturer safety information, and expect products to meet UK product safety laws where they apply. Compliance markings such as UKCA or CE and other certifications depend on the product and its origin.

7.3Correct use

Products must be used in line with manufacturer instructions, safety guidance, labels and warnings. We are not responsible for loss or injury caused by:

  • misuse or improper handling
  • ignoring instructions or warnings
  • use outside the intended purpose
  • modifications made after purchase
  • poor maintenance or cleaning
  • using incompatible accessories or an unsuitable environment

You are responsible for making sure a product suits your own working environment, that staff are trained where needed, and that products are inspected regularly for wear or damage.

7.4Limits on our liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit. Subject to that, we are not liable for indirect or consequential loss, loss of profit, business, contracts or anticipated savings, business interruption, or third-party claims. Our total liability for any order is limited to the invoice value of the goods supplied.

7.5Third-party manufacturers

Many products are made by other companies. Responsibility for manufacturing defects may rest with the manufacturer, and warranty claims may be subject to the manufacturer terms. We will help put you in touch with the manufacturer where appropriate, but we are not liable for defects arising only from third-party manufacturing processes beyond our reasonable control.

7.6Reporting a defect or safety concern

Tell us at once at info@brightnewwholesale.co.uk and include your order number or proof of purchase, a description of the issue, photographs and details of how the product was used. We may offer a replacement, repair, full or partial refund, or refer you to the manufacturer.

7.7Recalls

If a recall or safety notice is issued, we will make reasonable efforts to tell affected customers. You may be asked to stop using or return the product, and we may offer a replacement or refund. Please respond promptly to safety messages.

7.8Your legal rights

This part does not affect your statutory rights, for example under the Consumer Rights Act 2015 or UK product safety legislation. Where it conflicts with the law, the law prevails.
